1. General information

This document regulates the access and use of the functionalities accessible through the website (hereinafter, the “Terms of Use”) which you can access through https://scharlab.com/ (hereinafter, the “Site”), owned by SCHARLAB, S.L. (hereinafter, “SCHARLAB”). In this regard, SCHARLAB provides you with access to the Site so that you can make enquiries and place orders in our online shop.

We recommend that you read these Terms of Use carefully before any use of the Site.

2. Acceptance

Browsing, as well as the creation of an account on the Site or the mere use of the services offered on the Site confers the status of user (hereinafter, the “User”) and will be able to access the functionalities it offers. Likewise, this implies full and unreserved acceptance of the conditions included in these Terms of Use, in the version published by SCHARLAB at the time the User accesses the Site.

Access to and use of the functionalities of the Site is free of charge and is limited to SCHARLAB’s client status.

SCHARLAB reserves the right to unilaterally modify, at any time and without prior notice, the clauses of these Terms of Use, as well as the configuration and, in general, any other content or service of the Site. The use of the services and/or simple access to the Site implies acceptance of any modification introduced. SCHARLAB therefore recommends regular consultation of this document, as well as any subsequent modifications.

Likewise, the use of the Site is subject to all legal notices, regulations of use or instructions made known to the User through this Site and which replace, complete and/or modify these Conditions of Use.

3. Privacy policy

In order to make on-line purchases of the products offered on the Site, you must properly complete the form provided for this purpose. Likewise, if you are interested in receiving information about the products and services offered by SCHARLAB, you must enter your e-mail address in the “Newsletter” field. The data you provide in the aforementioned forms will be processed by SCHARLAB, S.L. in strict accordance with the Privacy Policy contained in this Site.

4. Purchasing conditions 

The Site managed by SCHARLAB provides you with a range of services and products that you can purchase through a specific purchase procedure set up for this purpose. For more details on the contracting conditions linked to the purchase of these services and products, you can consult our General Conditions, as well as the Specific Conditions applicable in each case.

5. Intellectual and industrial property

All industrial and intellectual property rights, as well as all the information contained in the Site (images, brands, graphic designs, source code, design, navigation structure, databases, and any other content that appears therein) are the exclusive property of SCHARLAB or, where appropriate, are duly licensed by the owner. The names of other products, services and companies that appear in this document or on the Site may be trademarks or other distinctive signs registered by their respective and legitimate owners, without it being understood that access or use of the Site grants the User any right over the aforementioned trademarks and other registered distinctive signs. Likewise, all the information and contents of the Site are protected by copyright and the intellectual property of the same belongs to SCHARLAB or, where applicable, its use and exploitation has been duly authorised by the owner, and none of the exploitation rights related to the same may be understood to have been transferred to the User beyond what is strictly necessary for the correct use of the Site.

In the context described above, the User is only authorised to view and obtain a temporary private copy of the contents for his or her exclusive personal and private use on his or her computer systems (software and hardware) and not to subsequently transfer them to third parties. With the above exceptions, the User is expressly prohibited from reproducing, transforming, distributing, publicly communicating, making available, extracting, reusing, resending or using any of them in any way, by any means or procedure, except in cases where this is legally permitted or expressly authorised in writing by SCHARLAB and/or the holder of the corresponding rights. By way of example, but not limitation:

  1. The User is not authorised to use the information contained on the Site for the purpose of developing activities of a commercial or professional nature (direct sales or for any other commercial purpose, as well as to market such information in any way).
  2. The User is not authorised to remove, evade or manipulate the copyright and other data identifying SCHARLAB’s rights, as well as any other protection mechanisms.
  3. The User is not authorised to disassemble, decompile or invert the databases in which the Site’s information is stored.

The unauthorised use of the information contained in this Site, its resale, as well as the infringement of SCHARLAB’s industrial and intellectual property rights, will give rise to the legally established responsibilities.

6. Conditions of use of the site

You shall make legally valid enquiries and orders through the Site. You also undertake not to place any false or fraudulent orders using untruthful or inaccurate information. If we believe that you have placed a false or fraudulent order, we inform you that SCHARLAB reserves the right, at its discretion, to cancel such order and inform the relevant authorities.

By providing us with your personal information for the purchase of any of the products offered on the Site you consent to our use of such information to contact you if necessary. See our Privacy Policy.

During the use of the Site:  

  1. guarantees that both the data and the information provided are true, accurate, complete and up to date, and that their use does not infringe the rights of third parties. To this effect, you are responsible for the truthfulness and legality of all the data that you share and you will keep the information provided suitably updated, so that it corresponds to your real situation;
  2. shall be liable for false or inaccurate information provided through the Site and for any damages, direct or indirect, that this causes or may cause to SCHARLAB and/or third parties;
  3. may not carry out data mining activities;
  4. shall be prohibited from sending mass or unsolicited communications (SPAM) addressed to other Users, or to their e-mail accounts used on the Site, without the prior authorisation of their owners;
  5. undertakes not to transmit, disseminate or make available to third parties information, data or content of any kind that may involve: (i) the violation of business secrets; (ii) the violation of the right to honour, personal and family privacy or the self-image of third parties; (iii) the violation of the secrecy of communications; or, (iv) the dissemination of illegal, misleading or unfair advertising;
  6. be responsible for the proper safekeeping of your User account login credentials, assuming any liability that may arise from your misuse of such credentials or impersonation.

Both the User name and the password must consist of a minimum of 5 characters. The password must also contain a capital letter.

The User must keep his/her password under his/her exclusive responsibility in the strictest and absolute confidentiality, assuming, therefore, any damages or consequences of any kind arising from the breach or disclosure of the secret.

The User undertakes to notify SCHARLAB immediately of any unauthorised use of his or her password, as well as access to it by unauthorised third parties.

7. Limitation of liability

SCHARLAB reserves the right to interrupt access to its Site, as well as the provision of any or all of the content and/or services offered through the Site at any time and without prior notice, whether for technical, security, control, maintenance or any other reason.

Consequently, SCHARLAB does not guarantee the reliability, availability or continuity of its Site or the contents offered therein, and access to the Site and its contents by the user is at the user’s own risk.

Likewise, SCHARLAB shall not be liable for temporary service interruptions, delays, errors, malfunctions and, in general, other inconveniences that have their origin in causes beyond the control of SCHARLAB, and/or are due to the wilful or negligent actions of the User and/or are caused by force majeure.

In this sense, SCHARLAB excludes itself, to the fullest extent permitted by law, from any liability for damages of any kind that may be due to the lack of availability or continuity of the operation of the Site and/or services, to the fallibility of the Site and/or services, to failures in access to the different web pages of the Site.

SCHARLAB adopts reasonably adequate security measures to detect the existence of viruses and/or malware. However, the User must be aware that the security measures of computer systems on the Internet are not entirely reliable and that, therefore, SCHARLAB cannot guarantee the non-existence of viruses or other elements that may cause alterations in the User’s computer systems (software and hardware) or in their electronic documents and files contained therein.

In this sense, SCHARLAB, to the full extent permitted by law, excludes any liability for damages of any kind that may be due to the presence of viruses or other elements in the contents of the Site, which may cause alterations in the computer system, electronic documents and / or files of users.

Finally, SCHARLAB accepts no responsibility for the use made by the User of the content of the Site that may violate any national or international regulations, intellectual or industrial property rights or any other rights of third parties.

Both access to the Site and the use that may be made of the information contained therein is the sole responsibility of the user. SCHARLAB shall not be liable for any consequence or damage that may arise from such access or use of the information. SCHARLAB is not responsible for any possible security errors that may occur or for any possible damage that may be caused to the User’s computer system (hardware and software), files or documents stored therein, as a result of a malfunction of the browser or the use of non-updated versions of the same.

SCHARLAB is not liable for any damages or losses arising from the use of the contents of the Site. In particular, SCHARLAB is not responsible for the contents, or the state of the links contained in this Site which may lead the user to other websites and web pages managed by third parties. SCHARLAB is not responsible for the content or status of these websites and web pages. Access to them through this Site does not imply that SCHARLAB recommends or approves their contents.

8. Notifications

All notifications and communications (hereinafter “notifications”) from the User to SCHARLAB shall be considered effective, for all purposes, when they are sent to the following e-mail address: dataprotection@scharlab.com. Likewise, all notifications made by SCHARLAB to the user shall be considered validly made if they have been made using the data and via the aforementioned means. To this effect, the User declares and guarantees that all the data provided by him/her are true and correct and that he/she will keep them duly updated.

9. Withdrawal and suspension of service

SCHARLAB may withdraw or suspend at any time and without prior notice the provision of the services offered through the Site to those Users who fail to comply with the provisions of these Terms of Use.

10. Duration and termination

The existence of the Site, as well as the provision of the services offered therein, is, in principle, for an indefinite period of time. However, SCHARLAB is entitled to terminate or suspend the provision of the aforementioned services and cancel the Site at any time, without prejudice to the provisions of the corresponding Particular Conditions. Whenever reasonably possible, SCHARLAB shall give prior notice to users of the termination or suspension of the Site and, where appropriate, of the services offered therein.

11. Applicable law and jurisdiction

Any litigious question related to the use of this Site shall be subject to Spanish legislation, and the Courts and Tribunals of the city of Barcelona shall be competent to resolve any questions that may arise or actions that may be brought as a result of the provision of the services and/or contents of the Site, as well as the interpretation, application, compliance and/or non-compliance with what is established herein, unless a different jurisdiction is established by law.
